Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Quantzivo website and any education, software or research services we make available (together, the "Services"). In these Terms, "Quantzivo", "we", "us" and "our" refer to the Quantzivo business that operates the Services, and "you" refers to you as a visitor or user.

Acceptance of these Terms

By accessing or using the Services, you agree to these Terms, our Privacy Policy and our Risk Disclaimer. If you do not agree, please do not use the Services. If you use the Services on behalf of an organization, you confirm that you are authorized to accept these Terms for it. Specific products may have additional terms, which we will present when those products become available.

The Services

Quantzivo provides:

• Education through Quantzivo Academy, including courses, learning paths, workshops and learning resources;
• Software through Quantzivo Studio, a planned workspace for strategy building, coding, backtesting and simulated paper trading;
• Research tools through Quantzivo AI, a planned AI-assisted research product.

Some Services, including Quantzivo Studio and Quantzivo AI, are in development. Descriptions of planned features show our current intentions; features may change, be delayed or not be released. We may modify, suspend or discontinue any part of the Services at any time.

Accounts

When accounts become available, you may need to register to use some Services. You agree to provide accurate information, keep your login details confidential and tell us promptly about any unauthorized use. You are responsible for activity that takes place under your account. You must be old enough to form a binding agreement where you live, or have permission from a parent or guardian where the law allows.

Acceptable use

You agree not to:

• use the Services in violation of any law or regulation, including securities, privacy and intellectual property laws;
• copy, resell, redistribute or publicly share course materials or other paid content without permission;
• attempt to gain unauthorized access to the Services, other accounts or our systems;
• interfere with or disrupt the Services, including by introducing malware or placing excessive automated load on them;
• scrape, harvest or extract data from the Services except as expressly permitted;
• reverse engineer software provided as part of the Services, except where the law allows it;
• use the Services to mislead others, including by presenting educational or simulated results as real or guaranteed;
• upload content that is unlawful, infringing, harmful or that you do not have the right to share.

Intellectual property

The Services and their content, including text, course materials, graphics, logos, software and the Quantzivo name, are owned by Quantzivo or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to access and use the Services for your own learning and research.

You keep ownership of content you create or upload, such as your own code, strategies and notes. You grant us a limited license to host, process and display that content only as needed to provide and improve the Services for you. If you send us feedback or suggestions, we may use them without obligation to you.

Educational content and no advice

All content and tools are provided for educational and informational purposes only. Nothing in the Services is investment, financial, tax, legal or other professional advice, or a recommendation or offer to buy or sell any security or financial product. Quantzivo is not a broker-dealer, investment adviser or financial planner. You are solely responsible for your own decisions. Please read the Risk Disclaimer, which forms part of these Terms.

Third-party data, services and links

The Services may display or rely on data, content or services provided by third parties, such as market data. We do not control third-party sources and do not guarantee that their information is accurate, complete or timely. Links to other websites are provided for convenience; we are not responsible for their content, policies or practices, and your use of them is at your own risk.

Pricing and payments

Pricing shown on this website, including the planned Quantzivo AI plans, is illustrative and provided for planning purposes. Final plans, limits and prices will be confirmed at launch and may change over time. We do not currently accept payments for products in development. When paid Services become available, the applicable prices, billing terms, taxes and any cancellation or refund terms will be presented to you before you purchase.

Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that any content, data, backtest, simulation or AI-generated output is accurate, complete or suitable for your purposes.

Limitation of liability

To the fullest extent permitted by law, Quantzivo and its owners, staff, contractors and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, trading losses, loss of data or loss of goodwill, arising from or related to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

Where our liability cannot be excluded, it is limited to the amount, if any, that you paid us for the Services giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

To the extent permitted by law, you agree to indemnify and hold Quantzivo harmless from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the Services or your breach of these Terms.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and indemnity, will continue to apply.

Governing law and disputes

The law that governs these Terms and the forum for resolving disputes will be stated here before the Services launch. Before starting any formal proceedings, we encourage you to contact us so we can try to resolve the issue informally.

Changes to these Terms

We may update these Terms from time to time, for example when new Services launch. The current version will always be available on this page. If changes are significant, we will take reasonable steps to let you know. Continuing to use the Services after changes take effect means you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a reorganization, merger or sale of assets.
